My advice: upgrade to 1.09 (or 1.10/1.11) and copy those files along with any others that don't have corresponding duplicates (may include voice.mpqs, as well), then upgrade to 1.12. With the digital download, just download the installers, then install the Core game first, then the expansion, then download and install 1.13c and youre good. I have 11.mpq files within my Diablo II directory. To install the expansion twice with 2 separate CD keys seemed to work just fine.
